Club History & Bylaws
ARTICLE I
NAME
The name of the club shall be the ORLANDO WOMEN’S REPUBLICAN CLUB, FEDERATED, a member of the Florida Federation of Republican Women and a member of the National Federation of Republican Women.
ARTICLE II
OBJECTIVES
1. To promote and inform the electorate through political education and activities..
2. To increase effectiveness of women in the cause of good government through active participation
3. To foster loyalty to the Republican Party and to promote its principles and candidates in all elections, including
non-partisan elections.
4. To support objectives and policies of the Florida Federation, the Republican National Committee and the
Republican Party of Florida and to work for the election of Republican Party nominees.
ARTICLE III
MEMBERSHIP
Section 1 - Membership shall be open to any registered Republican desiring to support the Republican Party and its principles and intends to support Republican Candidates.
(a) Membership shall be of two classes:
1, Regular: Women who have paid their current dues have full voting rights and privileges of membership,
including holding office, serving on committees and serving as delegates to the national and/or state
meetings and conventions.
2. Associate Members
(a) Women Associates
Women who are voting members of another Republican Federated Club.
(b) Men Associates
Republican men from Florida
(c) ASSOCIATES SHALL NOT:
1. Be counted for the purpose of determining the number of delegates to the State
or National Conventions.
2. Serve as a delegate or alternate.
3. Make a motion
4. Have a voice or vote
5. Be a committee chairman
6. Be a member of the Nominating Committee or hold any office.
Section 2. Only members in good standing who are duly qualified Republicans shall be eligible to
hold office in the Club or serve as Chairmen of Standing Committees or as members
of the Nominating Committee. Only members in good standing shall be eligible to vote
in any election of the Club or on business of the Club.
Section 3 “Special Regular” Membership shall include Platinum Eagle, Gold Eagle, Silver Eagle, and Bronze Eagle
with amount plus membership dues to be set by the membership. This shall also apply to
Associate Members.
ARTICLE IV
OFFICERS AND THEIR DUTIES
Section 1 - No member shall be eligible for office unless she is a regular member of the Club and a registered
Republican voter.
Section 2 – No member shall be eligible for the office of President unless she has been a regular member of the Club for at least one year and is a registered voter in Orange County.
Section 3 – The Officers shall consist of President, First Vice-President, Second Vice-President, Secretary and Treasurer.
Section 4 – Newly elected Officers shall assume their duties immediately after installation at the regular December
meeting and shall serve for a term of one year unless re-elected. No elected Officer shall serve more than
two consecutive years except the Treasurer.
Section 5 – In the event of a vacancy in the Office of President, it shall be filled by the First Vice-President.
A vacancy in the Office of First Vice-President shall be filled by the Second Vice-President.
A vacancy in the Office of Second Vice-President, Secretary or Treasurer shall be filled by majority vote
of the members present and voting. Nominations shall be made from the floor.
DUTIES OF OFFICERS
Section 1 – Duties of the President shall be:
(a) The President shall preside at all Club and Executive Board meetings and have general supervision
of the work and activities of the organization.
(b) Appoint all committees except the Nominating Committee, the appointment of such committees
to be approved by the Executive Committee.
(c) Be an ex-officio member of all committees except the Nominating Committee.
(d) Co-sign checks with an officer designation by the Executive Committee, in the absence or ability of
the Treasurer.
. (e) Serve as coordinator between the Organization and the Florida Federations.
(f) Appoint a Parliamentarian who shall meet the requirements as set forth for elected officers
but shall not be a voting member of the Executive Committee by virtue of her appointment.
(g) Shall appoint Budget Committee consisting of 3 people
Section 2 The Vice Presidents shall perform the duties of the President in her absence or inability to serve
and shall fill a vacancy in the office of the President in their order.
First Vice President shall be Program Chairman.
Second Vice President shall be Membership Chairman. She shall keep a current membership
roster and send notices of unpaid dues to the members.
Section 3. The Secretary shall keep and read the minutes of all meetings of the Club and the Executive
Board or provide copies of minutes to members. She shall be custodian of all records and
papers of the Club, except those that pertain to some other office or committee and shall perform
such other duties as may be assigned to her.
Section 4 Duties of the Treasurer shall be:
(a) The Treasurer shall receive and be custodian of all funds of the Club and shall pay all
bills authorized by the Club. The Treasurer shall keep an account of all monies received and
disbursed by her and shall report in full at all regular meetings. She shall keep a list of the
membership of the Club.
(b) Prior to February 1st of each year and as required throughout the year, the Treasurer shall forward
the required dues and fees for the Florida Federation and the National Federation of Republican Women to
the Treasurer of the Florida Federation as required by the By-Laws of FFRW and according to the
instructions of the FFRW Treasurer.
(c) The books of the Treasurer shall be audited by an Auditing Committee consisting of three
members to be appointed by the President and subject to the approval of the Executive Committee.
Section 5 All officers and committee chairmen shall deliver all records, files, and properties of the Club to their
successors in office at the December Board meeting.
ARTICLE V
EXECUTIVE BOARD
Section 1 - The Executive Board shall consist of the Elected Officers of the Club, the immediate Past President and
Chairmen of Standing Committees.
Section 2 - The Executive Board shall have authority to transact any necessary business between meetings; change a
meeting date in an emergency; make recommendations as to policies of the club; advise the President and
fill vacancies other than the office of President.
Section 3 - The Executive Board shall meet at the call of the President or upon request of a majority of the members of
the Executive Board. The regular Board meeting shall be the fourth Monday of each month.
ARTICLE VI
NOMINATIONS AND ELECTIONS
Section 1 A Nominating Committee of 3 regular members shall be elected by the Club at the September
meeting. The first named to act as Chairman. Current officers shall not serve on the Nominating
Committee.
Section 2 The slate of officers will be presented by the Nominating Committee at the regular October meeting.
Section 3 Election of Officers shall be held by ballot at the regular November meeting for a term of one year.
If there are no nominations from the floor, the Secretary shall cast a single ballot for the slate presented.
Officers will be installed at the December meeting.
Section 4 No officer shall serve more than two consecutive terms in the same office except the Treasurer.
Section 5 Only members in good standing prior to November 1st of the Club election year shall be eligible
to vote for Officers.
ARTICLE VII
DUES
Section 1 Annual dues shall be determined by majority vote of the members at a regular meeting.
The amount can be by recommendation from the Board or by a motion from the floor.
The per capita dues for the Florida and National Federation of Republican Women are included
in the annual membership dues.
Section 2 Dues shall be payable upon application for membership and thereafter annually on or before
January 1st.
Section 3 The fiscal year of this Club shall be January 1 to and including December 31.
Section 4 Membership dues become delinquent February 1st.
Section 5 The Club shall give a special donation to the general fund of the FFRW.
ARTICLE VIII
MEETINGS
Section 1 The regular meeting of this Club shall be held on the Second Friday of each month unless
otherwise ordered by the Executive Board.
Section 2 All regular members present and voting at regular meetings shall constitute a quorum.
Section 3 Special meetings may be held at the call of the President or shall be called upon the request
pf (40%) of the regular members.
ARTICLE IX
COMMITTEES
Section 1 The Standing Committee Chairmen shall be regular members appointed by the President and approved by
by the Board. These Committees shall be Achievement Awards, Bylaws, Campaign Activities,
Community Project, Legislation, Membership, Program, Public Relations, and Reservations.
Section 2 The duties of the Standing Committees shall be those as set forth by the State and National Federations
for such committees and any additional duties which may be designated by the Executive Committee.
Section 3 Special Committees may be appointed by the President as deemed advisable, subject to the approval
of the Executive Committee. The duties of Special Committees shall be those prescribed by the Executive
Committee. Chairmen of Special Committees shall not be members of the Executive Board by virtue of their
appointment.
Section 4 All committees shall file a written report and give verbal reports when requested.
Section 5 The President shall appoint a Chaplain, Historian and Parliamentarian. They shall have no vote but
serve at the discretion of the President
ARTICLE X
DELEGATES AND ALTERNATES
Section 1 Delegates and Alternates to all State or National Federation conventions shall consist of the
President of the Club, or in her absence, an elected Officer in respective order and as many
others as are provided for in the By-Laws of the State and National Federations
.
Section 2 The President, or in her absence, an elected Officer in respective order shall represent the
Club at State and National Federation Conferences. The Club shall be responsible for the registration
fees and Hotel expenses for the President or Alternate if funds are available.
ARTICLE XI
STANDING RULES
Section 1 The Club shall not endorse any candidate for office before the primaries nor participate in any
dispute or contest.
Section 2 Any member who uses Club stationery or reproduction of same for promotion for any candidate
or cause in any primary, or who participates in the name of the club in any dispute or contest
automatically forfeits her membership
Section 3 The Club shall refrain from passing any resolution dealing with national policy of the Republican
Party unless the Republican National Platform, the Republican members of Congress by
majority vote, or the Republican National Committee has adopted such a resolution, after which
the Club may support it actively.
Section 4 Shall any Officer or Standing Committee member be absent from three consecutive meetings
without a valid excuse, the Executive Committee shall have the authority, by majority vote, to
declare the office vacant.
Section 5 The membership roster shall be considered as Club property and shall not be divulged or used
by any purpose except specific business of the Orlando Women’s Republican Club, Fed.
However, membership list may be made available to Republican Candidates.
Section 6 The microphone/podium of the Orlando Women’s Republican Club shall be used exclusively by
Republicans.
ARTICLE XI
PARLIAMENTARY AUTHORITY
Roberts Rules of Order, Newly Revised, shall govern all proceedings except where inconsistent with
the provisions and By-Laws of the Club.
ARTICLE XII
AMENDMENTS
These By-Laws may be amended by a two-thirds (2/3) vote at any regular meeting of this Club, adjourned session thereof, or at a special meeting called for that purpose, provided notice of the proposed amendment has been given
in writing to all members at least ten days prior to the meeting.
